hi, need help with migrating from SBS 2003 R2 to server 2008 - doing that
w/out buying transition pack. The reason for that is that i already got OPEN
License for WIN SRV 2008 and Exch 2007 and the CAL's

any ideas ?

Copy your data over somehow, create a new AD domain (new accounts, etc),
exmerge your mailboxes. There's really nothing else you can do that I know
of.

Thing is that i want to preserve the current users profile config and rules
and setting up new AD from scratch...

You can keep the same AD and the same profiles and config. But if you want
to keep the profiles and not the domain, then you'll need to do an
interforest AD migration using ADMT (or equivelent).

Ah. Then you will need to get the transition pack, I'm afraid. You can
manually copy profiles but it's a huge pain and may not work properly. And I
don't know that ADMT will help you out either. However, you might try
posting in microsoft.public.windows.server.active_directory for more help
(but please don't merely repost your original message; rewrite & update it).
