Romote tools refuse to connect

I have a ce5.0 image that gets downloaded to the device over ethernet and
booted properly. I can see the processes, threads etc. in my target control
window (gi proc etc.). But non of my remote tools can't connect to it. I
receive an error message "Platform Manager was unable to download files to
the device. Please check your startup server and tranport settings and try
again". I have tried different tranport settings (kitl and TCP/IP) with no
luck.
Can someone show some light here?

What start up server are you using?
I use active sync over USB and it works perfect.

Well, I have tried different servers with no luck. The following is the debug
