Install the latest version of the Windows Installer:
http://www.microsoft.com/downloads/details.aspx?FamilyID=8b4e6b93-1886-4d47-a18d-35581c42eca0&displaylang=en&Hash=YYCGHT7

You are using version 3.1.4000.1433, latest update which corrects some
issues on x64 is 3.1.4000.2435

Before the release of Windows Installer 3.1, during a silent installation
process, a package could not install a later version of a file that was
protected by the Windows File Protection (WFP) feature. However, the
installation process would continue and would report as successful.

With the release of Windows Installer 3.1, this behavior has changed. In
version 3.1, the silent installation process does not succeed and then rolls
back the installation if the silent installation process cannot install the
WFP-protected file. To resolve this problem, obtain the KB160810 update
package.

Question, are you running the final RTM Build of Windows XP Professional
x64, build 1830? Click Start > Run > type in WinVer click OK, on the About
Windows dialogue, does it display the following information: version 5.2
(build 3790.srv03_sp1_rtm.050324-1447: service
pack 1

If not, you are running a beta build which is probably the cause for the
incompatibility.
